Articles of association for public limited companies

The articles of association must at least contain

• that the company is to be a public limited company
• the business name, that has to contain the word public limited company, or the abbreviation ASA
• the municipality where the company will have its premises
• the company’s objective
• the amount of the share capital
• the nominal value of the shares
• the number of shares
• the number, or the minimum and maximum number of board members
• whether the company should have several general managers, or whether the board or the corporate assembly should be able to decide that the company may have several general managers
• which items are to be dealt with at the annual general meeting. This is:
  • approval of the annual accounts and the annual report
  • other items, which according to the law, or the statutes belong to the general meeting
