Group notification

A group notification must only be submitted if the enterprise is part of a group.
The basis for the registration is direct or indirect ownership interest of more than 50 per cent, or pursuant to an agreement or voting rights.
The Norwegian parent company at the top of the group structure is responsible for submitting the group notifications, but others within the group may also do so.
Enter the submitter if it is other than the enterprise listed in field 2. The submitter will receive feedback about the registrations in the Central Coordinating Register for Legal Entities. The same will apply to the other enterprises of the group structure with a Norwegian address.
State the parent company with its organisation number, name and ownership. If the mother company is a foreign company without an organisation number, you have to fill out page 3 as well.
Tick the box for “new enterprise in the group” if the notification applies to new enterprises in an existing group or a new group that is not previously registered in the Central Coordinating Register for Legal Entities.
Tick the box for “change in group relationship” if the notification applies to other changes in the group structure, such as changed ownership or basis.
Tick the box for “the group relationship has been terminated” if the enterprise has left the group.
State the subsidiaries with organisation number, name and ownership. If any of the subsidiaries are foreign companies without an organisation number, you have to fill out page 3 as well. Use multiple forms if there are too few fields. If the company also is to report several levels, you must use a new form for each level.
Tick the box for “new enterprise in the group” if the notification applies to new enterprises in an existing group or a new group that has not been previously registered in the Central Coordinating Register for Legal Entities.
Tick the box for “change in group relationship” if the notification applies to other changes in the group structure, such as changed ownership or basis.
Tick the box for “the group relationship has been terminated” if the enterprise has left the group.
Space for any notes, such as information about indirect ownership or agreement.
If you upload the form as an attachment in a digital Coordinated register notification, it is enough for the notification to be digitally signed.
If you submit the notification by post, the form must be signed by the general manager, business manager or another contact person for the enterprise listed in field 2 of the form. We cannot accept a copy, or a form that has been signed digitally.
If some of the foreign companies are not registered with the Central Coordinating Register for Legal Entities, nor is obliged to be registered, such as foreign companies not operating in Norway, the following information must be reported on page 3 or on a separate sheet of paper
- name
- address in the home country
- digital notification address (e-mail) for the foreign company
- organisation number in the home country
- type of organisation in the home country
- the business register in the home country
- the address for the foreign business register
If the enterprise has an organisation chart showing the group structure, you can attach this instead of filling in the form.
Remember to state the name, organisation number and ownership on the organisation chart. If there are foreign companies without an organisation number, you also have to state information for “Foreign companies without an organisation number”.
