Make changes to your public limited company

Any changes of the registered information, must be reported to the Register of Business Enterprises. You do this by submitting the form Coordinated register notification in Altinn.

How do I report a new business name?

You register a new business name by submitting the form Coordinated register notification in Altinn. It is the general meeting that adopts a new business name. The change requires a change in the articles of association.

You have to attach

  • minutes from the general meeting
  • updated articles of association

How do I report a new address?

You can register a new address by submitting the form Coordinated register notification in Altinn.

New business address

The business address for a public limited company has to be a Norwegian street address or name of place.

When changing the address to a new municipality, the company’s statutes must be changed. The general meeting has to approve such a change.

Upon a change to a new municipality, you must attach

  • articles of association
  • minutes form the general meeting showing the decision to amend the articles of association

New postal address

You are not required to report a separate postal address. If you would like your mail sent to a different address than the business address, you can report it as postal address.

How do I report a new board?

When the company has elected a new board, you must report this through the form Coordinated register notification in Altinn. The new board members must consent to the registration by signing the form.

The general meeting must elect the board.

You must attach

  • minutes from the general meeting showing the decision
  • any minutes/document showing the employees being elected to the board
How do I report a new general manager?

When the company hires a general manager, you must report this in the form Coordinated register notification in Altinn.

There are usually no requirements for attachments.

The exception is if you as a general manager submits a notification and you do not have roles in the board. Then you must attach

  • documentation showing the employment, such as minutes from a board meeting
How do I report new signature rights?

When the company changes the signature right, you must report this in the form Coordinated register notification in Altinn.

You must attach

  • minutes from the board meeting showing the assignment of signature, unless the entire board has signed in the form

It must be clearly stated that the signature right is assigned, and whether it is assigned jointly or separately.

How do I report a new auditor?

Once the company has elected a new auditor, you report this through the form Coordinated register notification in Altinn.

The general meeting must elect the auditor. The auditor must confirm taking on the assignment by signing in the form.

You must attach

  • minutes from the general meeting showing the resolution
How do I resign my role in the company?

All role holders can report their own resignation. When you resign, you waive all rights and obligations belonging to your role. You have to notify us about your resignation through the form Coordinated register notification in Altinn. Once the resignation has been registered, both the  company and you will be notified of this.
