The Act relating to the Authority to Act on behalf of a
Business Enterprise per procurationem

§ 1. If anyone operating a business enterprise
has given a person the authority which is expressly called
[in Norwegian] "prokura" (the authority to act on
behalf of a business enterprise per procurationem), or in
other ways designated someone to act on behalf of the business
enterprise [in Norwegian called a "prokurist"],
this person is empowered to act on behalf of the business
enterprise in each and every matter concerning the operation
of the business enterprise in question. However, the person
empowered to act on behalf of the business enterprise ["prokurist"]
may not, without express authority for such purpose, transfer
or encumber the business enterprise's real property or personal
property which can be registered in the Ships Register or
Aircraft Register, or act on behalf of the business enterprise
in any court proceedings.
The provisions in the Norwegian Business Enterprise Registration
Act apply to the registration of persons empowered to act
on behalf of a business enterprise.
§ 2. The authority to act on behalf of a business
enterprise per procurationem may be given to several persons
in such a way that they may only use it jointly. Restrictions
on the person empowered to act on behalf of a business enterprise
per procurationem other than those pursuant to Section 1 cannot
be registered (cf. the Norwegian Business Enterprise Registration
Act, Section 3-7, third paragraph) nor can they be applied
to a third party acting in good faith.
§ 3. When a person so empowered signs for the
business enterprise, he or she shall also indicate
that he or she has been empowered to act on behalf of the
business enterprise (by adding the letters p.p., per procurationem,
or another abbreviation of these words). Otherwise, the provisions
for signing on behalf of a business enterprise in Section
7-1 of the Norwegian Distinguishing Characteristics Act apply.
§ 4. A person empowered to act on behalf of a
business enterprise may not transfer this authorization to
another party.
§ 5. The authorization to act on behalf of a
business enterprise may be rescinded at any point in time.
The authorization to act on behalf of a business enterprise
is still in force if the owner of a registered sole proprietorship
dies. If the sole proprietorship is not registered, the provisions
in the Norwegian Contracts Act, Section 21, apply.
§ 6. This act enters into force at the time stipulated
by the King
